Bri-Chem Corp. ("Bri-Chem" or "Company") (BRY.TO) a leading North American wholesale distributor and manufacturer of oil and gas drilling fluids and steel pipe is pleased to announce that Bri-Chem has completed the acquisition of General Supply Company ("General"), an Oklahoma, USA based drilling fluids wholesaler. The acquisition of General is expected to add approximately US$3 million in annual revenues to Bri-Chem and includes the purchase of certain land and building assets related to their operations. The total purchase price is US$2.5 million including the issuance of 95,451 common shares of Bri-Chem to the vendor and a US$250,000 promissory note payable one year after closing.
General started operations in 1983 and is currently operating from three warehouses located in the cities of Clinton, Enid and Chickasha, Oklahoma. Bri-Chem entered into employment agreements with key members of management which is expected to provide for a seamless integration.
